Terms of Service

1. Acceptance of Terms

By accessing our website (websolvercafe.com), requesting a project quotation, or entering into an engineering contract with WebSolverCafe, you agree to be legally bound by these Terms of Service. If you do not accept these terms, you must refrain from using our services.

2. Scope of Services

WebSolverCafe specializes in custom digital engineering including, but not limited to:

  • High-performance web applications, portals, and WordPress/WooCommerce solutions.
  • Native and cross-platform mobile application development (iOS & Android).
  • Bespoke UI/UX design, interactive wireframing, and design systems.
  • Autonomous AI agent integrations, API automations, and cloud architecture.

Detailed deliverables, timelines, and commercial terms for each engagement are formalized in a separate Statement of Work (SOW) or written agreement.

3. Intellectual Property Rights & Ownership

  • Client Deliverables: Upon full clearance of all milestone payments, 100% intellectual property ownership of the custom code, designs, and assets created specifically for the client transfers entirely to the client.
  • Pre-existing Frameworks: Open-source libraries, proprietary boilerplate frameworks, and general coding utilities developed by WebSolverCafe prior to the project remain our property, granted to the client under a perpetual, non-exclusive license.
  • Portfolio Rights: Unless protected by a signed Non-Disclosure Agreement (NDA), WebSolverCafe reserves the right to display completed visual work and case studies in our agency portfolio.

4. Milestones, Invoicing & Payment Terms

Standard projects follow structured milestone billing (e.g., initial deposit upon contract signing, intermediate milestone reviews, and final deployment balance). Invoices are payable within the timeframe indicated on each invoice. Delay in milestone approval or payment may result in pause of development sprints.

5. Revisions & Scope Modifications

Each milestone includes designated revision rounds specified in the Statement of Work. Any functional feature additions, third-party API changes, or scope expansions requested outside the approved SOW will be estimated and billed as a separate Change Request (CR).

6. Confidentiality & NDA

Both parties agree to treat all business plans, customer records, technical diagrams, and commercial terms exchanged during discovery and development with the strictest confidentiality. We routinely sign bilateral Non-Disclosure Agreements (NDAs) prior to enterprise discovery.

7. Limitation of Liability

To the maximum extent permitted by applicable law, WebSolverCafe shall not be held liable for indirect, punitive, incidental, or consequential damages, including loss of business revenue or data interruption. Our total cumulative liability arising from any engagement shall not exceed the total fees paid by the client under the specific Statement of Work.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising out of or related to our services shall be subject to the exclusive jurisdiction of the competent courts in Sagar, Madhya Pradesh, India.
